Members of the UK P&I Club and the TT Club have overwhelmingly approved the proposed merger of the two mutuals at separate special general meetings this week, the clubs confirmed in member circulars. The combined entity will trade as United Transport Mutual Limited, a transport mutual covering shipping, logistics, ports and terminals, with the merger scheduled to take effect on February 20, 2027, subject to regulatory consent.
The vote follows member consultations that began in September and a framework agreement signed in June committing both clubs to the transaction. The clubs already operate through the shared Thomas Miller management platform, and the member vote runs alongside their joint offer for Thomas Miller Holdings through the TMH Bidco vehicle, which won acceptance from more than 89 percent of Thomas Miller shareholders and is expected to complete in the fourth quarter of 2026.
Club leadership has pitched the combination as delivering cost efficiencies and the scale to invest, with both brands continuing under the merged mutual. The regulatory consent stage is the remaining milestone before the February 2027 effective date.
