GE HealthCare agreed to acquire SOFIE Biosciences, a US contract manufacturer of PET radiopharmaceuticals, from Trilantic North America for $945 million in cash, giving the Trilantic sponsor a full cash exit. SOFIE will join GE HealthCare’s Pharmaceutical Diagnostics segment after closing in the first half of 2027, pending regulatory clearance.
The asset is a 15-site US manufacturing network operating 21 cyclotrons, plus a theranostics-focused development and manufacturing site. That network is the point of the deal: fluorine-18 tracers have half-lives of about 110 minutes, so they must be made near the hospitals and imaging centers that use them, making large-scale centralized production uneconomic and an equivalent competing network slow and capital-intensive to replicate. SOFIE will keep supplying products from other radiopharmaceutical companies after closing, preserving its contract-manufacturing revenue under GE HealthCare ownership.
The deal also hands GE HealthCare the US rights to FAPI-74, a Phase III PET radiotracer with pan-cancer imaging potential, complementing rights it already holds outside the US. GE HealthCare expects the acquisition to be accretive to revenue growth, adjusted EBIT margin and adjusted EPS in the first full year of ownership.
