Mahindra and Mahindra disclosed that Brazil’s Embraer will acquire a 51 percent equity stake in Novavayu Aerospace, a step-down subsidiary, under an investment agreement signed on October 9. Mahindra Defence Systems, which holds Novavayu, received intimation of the agreement at 10:43 p.m. IST that day and will receive aggregate consideration of about Rs 510,000 for the stake.
Novavayu Aerospace was incorporated only on July 29, 2026, as a wholly owned subsidiary of Mahindra Defence Systems, which sits under Mahindra Advanced Technologies within the Mahindra group. The company has not generated any revenue or income, and it did not exist during the financial year ended March 31, 2026, so it contributed nothing to Mahindra’s consolidated results. After the transaction, Novavayu will cease to be a wholly owned subsidiary and will become an associate of Mahindra Defence Systems. Completion is expected on or before December 1, 2026.
Mahindra said the buyer is not related to its promoter, promoter group or group companies, so the sale does not fall within related-party transactions. The filing gives no business plan or reason for the sale, but the structure is recognizable: a strategic joint venture vehicle in which Embraer takes majority control while Mahindra limits its capital exposure in a nascent entity.
Embraer is headquartered in São José dos Campos, Brazil. The move fits Mahindra’s pattern of building its defense and aerospace presence through international partnerships rather than purely organic investment.
