Sweden’s EQT AB said on Thursday it has signed an agreement to acquire Stockbridge, the San Francisco based US real estate investment manager, for a base cash consideration of $375 million, with up to $175 million more in earnouts payable between 2027 and 2030 if fundraising targets for new products are met. The total value is therefore up to $550 million, funded from EQT’s balance sheet, and closing is expected in the first quarter of 2027 subject to investor consents and other customary conditions.
EQT will acquire all of the Stockbridge management company and the general partner entities that control its funds, and will be entitled to invest in 35 percent of the carried interest in all future Stockbridge funds. Stockbridge’s senior management shareholders have committed to reinvest half of their cash proceeds in EQT AB shares bought in the market after closing, subject to lock ups expiring in 2029, 2030 and 2031.
Stockbridge, founded in 2003, manages about $16.5 billion of fee generating assets and $27 billion of gross asset value, with about 185 professionals in six US offices and roughly 180 institutional clients. Its open ended core fund will become a flagship diversified core strategy inside EQT Real Estate, and it brings industrial outdoor storage and manufactured housing capabilities that EQT does not currently run at scale in the United States.
The purchase is EQT’s second manager acquisition in a quarter. It closed the Coller Capital combination on August 31, which lifted fee generating assets to 195 billion euros and total assets under management to 354 billion euros at the end of the third quarter. The pattern is consolidation at the manager level: large platforms are buying specialist firms with sticky institutional client bases rather than only buying assets fund by fund.
