Egypt approves Banque du Caire stake sale prospectus

Infrastructure Monday, October 19, 2026 · Updated Oct 19, 2026 07:13

Egypt's regulator has approved the prospectus for selling 30 percent of state-owned Banque du Caire, up to 4.575 billion shares worth as much as 24.25 billion Egyptian pounds.

Why it matters: This is the flagship test of Egypt's state offerings programme: a secondary sale by Banque Misr, priced by bookbuilding this week, that has been pending since the bank's temporary listing in 2017.

Data as of Prospectus approval announced Sunday, October 18, 2026. Purchase orders run October 19 to 23, 2026; the final price is due no later than October 26, 2026, and trading is expected to begin in November. The 24.25 billion pounds is the value at the top of the indicative range, about 454 million dollars.

Egypt’s Financial Regulatory Authority has approved the prospectus for the offering of Banque du Caire shares on the Egyptian Exchange, clearing the sale of a 30 percent stake in the state-owned bank. The offering covers up to 4.575 billion existing shares held by state-owned Banque Misr, making it a secondary sale: the proceeds go to the selling shareholder and the state programme, not onto the bank’s own balance sheet.

The indicative price range is 4.82 to 5.30 Egyptian pounds per share, valuing the offered stake at up to about 24.25 billion pounds. Ninety-five percent of the offering is allocated to a private placement for qualified investors and 5 percent to a public retail offering, and the sale may be increased to 45 percent of the bank under the approved rules. Purchase orders are being taken from October 19 to 23, with the final price to be set by bookbuilding no later than October 26.

CI Capital is lead global coordinator and joint bookrunner, with EFG Hermes as joint global coordinator and joint bookrunner. The bank, led by chief executive Hussein Abaza, reported net profit after tax of 8.94 billion pounds for the first half of 2026, and trading in its shares is expected to begin in November.

The approval ends a long procedural wait. Banque du Caire was temporarily listed on the exchange on February 8, 2017, and has sat in the government’s offerings pipeline since. The state has temporarily listed about 28 state-owned companies under the programme; whether this sale prices at the top of its range, and how much of the possible increase to 45 percent is used, is the first real demand test for the rest of that list.
