Cleanaway said on Monday it had agreed to be acquired by the private equity firm EQT under a scheme of arrangement at A$3.095 in cash per share, less any dividends paid before completion, a price 32.1 percent above its share price on August 12, the last trading day before EQT’s proposal was announced. The board unanimously recommended shareholders vote for the deal, provided no superior proposal emerges and an independent expert finds it in shareholders’ best interests, and it may declare a fully franked special dividend of up to 19 Australian cents per share before completion, expected between 14.5 and 19 cents and deducted from the cash price. Cleanaway shares surged 20 percent to A$2.96 on Monday, their highest since August 2024, and the company, which provides waste collection, recycling and industrial services across Australia, New Zealand and the Middle East, expects a shareholder vote before the end of February 2027 and completion by the end of March.
