TriGemX takes migraine drug public through 600 million dollar SPAC

Life Sciences Tuesday, October 20, 2026 - Updated Oct 20, 2026 07:27

TriGemX Bio will merge with TCGX Acquisition Corp. in a deal expected to raise about 246 million dollars, including a 160 million dollar PIPE, at a post closing equity value near 600 million dollars, to fund Phase 3 trials of its oral migraine drug elismetrep through a targeted mid 2028 filing.

Why it matters: The SPAC route, largely closed to biotech since 2022, reopening for a single asset migraine company with named crossover investors is a financing market signal as much as a company event, and the no redemption assumption behind the proceeds figure is the number to watch.

Data as of Business combination announced October 19, 2026 (joint company release, primary source). Proceeds and equity value figures assume no redemptions by TCGX public shareholders and are before transaction costs. Closing expected in the first quarter of 2027, subject to shareholder approvals. Phase 2b figures are from the company's investor presentation filed with the SEC.

TriGemX Bio, a clinical stage company built around a single migraine drug, announced on October 19 that it will go public through a merger with TCGX Acquisition Corp., a Nasdaq listed special purpose acquisition company. The combined company, to be renamed TriGemX Bio, Inc. and trade under the ticker TGEM, is expected to receive about 246 million dollars in gross proceeds: roughly 86 million dollars from TCGX’s trust account and a concurrent 160 million dollar PIPE at 10 dollars per share from investors including Viking Global Investors, ADAR1 Capital Management, BVF Partners, Samsara BioCapital and Vianti Capital. At closing the combined company is expected to carry a post transaction equity value of about 600 million dollars. Existing TriGemX shareholders roll over all of their equity and take no cash out.

The money is earmarked against a dated plan. Elismetrep, an oral drug TriGemX describes as a potential first in class treatment for migraine, is in Phase 3 for acute treatment, with readouts expected in mid 2027 and early 2028 and a new drug application targeted for mid 2028. Proceeds will also fund a separate migraine prevention trial using a distinct dose and formulation, and commercial readiness work for a possible US launch. In the company’s Phase 2b trial, the 20 mg dose produced placebo adjusted gains of 10.5 percentage points in pain freedom at two hours, 14.0 points in freedom from the most bothersome symptom and 16.4 points in pain relief, and about 1,000 subjects have been exposed to the drug across 13 trials. TriGemX held about 111 million dollars in cash as of October 1, 2026, which it said funds operations into the third quarter of 2027 without the deal.

The caveats are printed in the release itself. The 246 million dollar figure assumes TCGX public shareholders redeem nothing and is before transaction expenses; SPAC redemptions have historically cut trust proceeds sharply, which is why the 160 million dollar committed PIPE is the harder number in the structure. Closing, expected in the first quarter of 2027, needs shareholder approval from both companies. What the deal tests, beyond one migraine program, is whether the SPAC format can again finance a single asset biotech through Phase 3 when the PIPE syndicate is named and healthcare specialist, rather than retail, money.
