GEM, the Charlotte based investment manager, has announced the final close of GEM Independent Sponsors Fund II at its hard cap, with programme commitments totalling 685 million dollars. The fund drew foundations, healthcare institutions, insurance companies, university endowments and clients of GEM’s affiliated outsourced chief investment officer business.
Fund II is about 52 percent larger than GEM’s inaugural 450 million dollar independent sponsors fundraise in 2025. Independent sponsors are private equity teams that source and execute acquisitions deal by deal without a committed fund of their own, raising capital per transaction from providers such as GEM. Over its programme’s history GEM says it has evaluated more than 1,200 opportunities and completed 87 investments alongside more than 30 sponsors, several of which have since graduated to committed fund structures.
Head of investments Jay Ripley said the independent sponsor market has evolved from a niche segment into an increasingly important source of lower middle market exposure. Harris Williams acted as exclusive placement agent and Ropes and Gray served as legal counsel on the formation, according to trade coverage of the close.
The close matters less for its size than for what it says about fundraising in 2026: capital has concentrated with established platforms, and a specialist programme that intermediates between institutions and fundless sponsors reaching its hard cap shows the deal by deal end of private equity is still being financed.
