ADT agrees to be acquired by Thrive Holdings for $10 a share

Infrastructure Thursday, October 29, 2026 - Updated Oct 29, 2026 12:57

ADT has agreed to be acquired by Thrive Holdings for $10.00 a share in cash, an equity value of about $7.6 billion and an enterprise value of $15.3 billion, a 45.6 percent premium to its unaffected closing price.

Why it matters: The take private removes one of the largest United States home security platforms from the public market, and the 30 day go shop period to November 28 means the price is not final until rival bidders have had their window.

ADT Inc. said on Thursday it has entered into a definitive agreement to be acquired by Thrive Holdings for $10.00 per share in cash, valuing ADT’s equity at approximately $7.6 billion and the transaction at $15.3 billion in enterprise value. The price is a premium of 45.6 percent to ADT’s unaffected closing share price of $6.87 on October 27, 2026, and of 52.1 percent to its 30 day volume weighted average price to that date. ADT’s board unanimously approved the agreement. The transaction is not subject to a financing condition, and financing commitments have been provided solely by funds managed by affiliates of Apollo Global Management.

Closing is expected in the first quarter of 2027, subject to approval by ADT stockholders, receipt of United States antitrust approval and other customary conditions, after which ADT will become privately held and its shares will cease trading on the New York Stock Exchange. The price is not yet final: ADT may solicit third party proposals during a 30 day go shop period running to 11:59 p.m. New York City time on November 28, 2026, with a potential 10 day extension for certain parties that bid during the initial period, and may terminate the agreement to accept a superior proposal. Thrive Holdings is the operating company offshoot of Thrive Capital, the venture firm founded by Josh Kushner, and buys traditional businesses and applies AI to their workflows.
