Alphabet is offering seven series of euro denominated senior unsecured notes, the company said in a preliminary prospectus supplement filed with the Securities and Exchange Commission on Monday. The deal comprises one floating rate series, priced off three month EURIBOR and reset quarterly, and six fixed rate series. The notes will rank equally with Alphabet’s other unsecured and unsubordinated debt and will be structurally subordinated to the obligations of its subsidiaries.
The filing is a launch document, not a priced deal. Aggregate principal amounts, coupons, maturities and the offering prices are blank throughout, to be completed at pricing, and the supplement is marked subject to completion and dated November 2, 2026. Net proceeds are likewise unstated at this stage. Alphabet says it intends to use the proceeds for general corporate purposes, which may include repayment of outstanding debt.
Barclays, BNP Paribas and Deutsche Bank are joint book running managers. Alphabet intends to apply to list each series on the Nasdaq Bond Exchange, with trading expected to begin within 30 days of the issue date if the listing is approved, and notes will be delivered through Clearstream and Euroclear on a T plus 3 settlement cycle, the third London business day after pricing.
The final terms, when the priced supplement follows, will show how much term funding Alphabet chose to raise in euros and at what maturities, the part of the transaction that matters for the broader corporate supply calendar. Until then the material facts are the structure itself: seven tranches, a floating rate leg, and a euro market venue for one of the largest US issuers.
