Karyopharm Therapeutics filed voluntary Chapter 11 petitions in Texas on Monday under a restructuring agreement that makes Ayrmid, the parent of Gamida Cell, the lead bidder in a court-supervised sale, backed by 55 million dollars in bankruptcy financing.

Why it matters: The filing puts a marketed blood cancer drug, Xpovio, into a court-run auction, with operations continuing while other bidders are invited to beat Ayrmid's planned merger.

Karyopharm Therapeutics has filed voluntary Chapter 11 petitions in the United States Bankruptcy Court for the Southern District of Texas under a restructuring support agreement with its lenders and noteholders that provides for a merger with Ayrmid Ltd., the parent of Gamida Cell. Ayrmid will serve as lead bidder in a court-supervised sale process in which other parties may submit competing bids, and Karyopharm has secured commitments for up to 55 million dollars in debtor-in-possession financing from its existing secured lenders.

The company said it will continue operating in the ordinary course, advancing Xpovio (selinexor) for multiple myeloma and its myelofibrosis programs, and expects the transaction to close in the first quarter of 2027. BioPharma Dive reported that Karyopharm shares fell 83 percent to 11 cents on the filing, leaving the company valued at about 2.5 million dollars.
