Infrastructure Monday, November 2, 2026 - Updated Nov 2, 2026 09:42

Kimberly-Clark completed its acquisition of Kenvue on November 2, 2026, closing the merger agreed on November 2, 2025, with each Kenvue share converted into 0.14625 Kimberly-Clark shares plus 3.50 dollars in cash.

Why it matters: The closing takes the former Johnson and Johnson consumer health business, listed as Kenvue since 2023, into private ownership inside Kimberly-Clark and ends Kenvue's life as a standalone listed company.

Kimberly-Clark completed its acquisition of Kenvue on November 2, 2026, closing the merger agreement the two companies signed on November 2, 2025, and Kenvue is now a wholly owned subsidiary held through a Kimberly-Clark merger subsidiary. Each Kenvue share was converted into 0.14625 shares of Kimberly-Clark common stock, with cash in lieu of fractional shares, plus 3.50 dollars in cash, and Kimberly-Clark funded the cash portion with cash on hand, debt financing and proceeds from the previously announced sale of a 51 percent interest in its International Family Care and Professional business. Kenvue asked the New York Stock Exchange to suspend trading in its stock before the open on the closing date and to file a Form 25 to delist and deregister the shares, and its directors resigned in connection with the merger.
