Oracle launches twin 10 billion dollar stock and bond offerings

Rates Monday, November 2, 2026 - Updated Nov 2, 2026 08:44

Oracle's Monday capital raise is two concurrent 10 billion dollar offerings, a senior notes sale and a common stock sale, according to preliminary prospectus supplements the company filed with the SEC.

Why it matters: Oracle is one of the largest debt funded builders in the artificial intelligence data centre race, and pairing a 10 billion dollar bond sale with a 10 billion dollar equity sale splits the funding test between bond investors and shareholders a week after the company put its planned additional capital raises at 20 billion dollars.

Data as of Oracle preliminary prospectus supplements filed November 2, 2026, accessions 0001193125-26-442722 (notes) and 0001193125-26-442729 (common stock), read in full in this run. Both supplements are marked subject to completion: per-tranche note amounts, coupons and the share offering price are blank in the preliminary documents. Updates the earlier Bloomberg-sourced developing item on the bond sale. Developing item.

Oracle is raising 20 billion dollars across two concurrent offerings, according to preliminary prospectus supplements filed on Monday. One offering is 10 billion dollars of senior notes in six series: floating rate notes due 2029, priced off compounded SOFR, and fixed rate notes due 2029, 2031, 2033, 2037 and 2046. The other is 10 billion dollars of common stock, offered alongside a last reported sale price of 130.67 dollars a share on October 30, 2026. Neither closing is conditioned on the other, and in the preliminary documents the per-tranche note amounts, coupons and share price are still blank, so pricing terms are not yet public.

Both supplements state the proceeds will be used for general corporate purposes, which may include capital expenditures, repayment of indebtedness, future investments or acquisitions, and payment of cash dividends on or repurchases of common stock. The notes will rank equally with Oracle’s other unsecured and unsubordinated debt, and the new common stock will rank junior to the notes. Bloomberg had reported the 10 billion dollar bond leg earlier on Monday, citing a person familiar with the matter, a week after Oracle said it would undertake just 20 billion dollars of additional capital raises over the next several years.
