Equinix Europe 2 Financing Corporation LLC is offering four series of euro denominated senior notes, according to a preliminary prospectus supplement filed with the Securities and Exchange Commission on Tuesday. The issuer is an indirect, wholly owned subsidiary of Equinix, Inc., and the notes will be fully and unconditionally guaranteed by Equinix on an unsecured basis. Interest will be payable annually, beginning in 2027.
The filing is a launch document, not a priced deal. Aggregate principal amounts, coupons and maturities are blank throughout, to be completed at pricing. Equinix says it intends to allocate an amount equal to the net proceeds to finance or refinance one or more eligible green projects. Pending that allocation, proceeds may be held in cash, cash equivalents and US government securities, or used to repay existing borrowings, and the company says it will not knowingly invest unallocated proceeds in securities directly related to fossil fuels.
BNP Paribas is the green bond structuring agent, with BofA Securities, ING, J.P. Morgan, Santander and Standard Chartered Bank as joint book-running managers. The issuer intends to apply to list each series on the Nasdaq Bond Exchange, with trading expected to begin within 30 days after the original issue date. On a change of control triggering event, the issuer would be required to offer to buy back the notes at 101 percent of principal plus accrued interest.
