The European Commission has conditionally approved JD.com's takeover of Ceconomy, the German owner of MediaMarkt and Saturn, under the Foreign Subsidies Regulation, and Ceconomy says all closing conditions for the offer are now satisfied.
Why it matters: The decision is a leading test of the EU's foreign subsidies regime for Chinese buyers: approval came only with ten year commitments that open JD.com's European logistics and technology services to rival retailers on the same terms Ceconomy gets.

The European Commission said on Tuesday it had approved JD.com’s acquisition of Ceconomy under the Foreign Subsidies Regulation, subject to commitments, after finding that subsidies JD.com receives could distort the single market. The commitments, binding for ten years and monitored by an independent trustee, require intra-group transactions at market conditions and require JD.com to offer its warehouse, logistics and technology services to other retailers on the same terms it gives Ceconomy. Ceconomy, the Düsseldorf retailer behind MediaMarkt and Saturn, said JD.com informed it on Tuesday that it had received the clearance, and that all closing conditions for JD.com’s voluntary public takeover offer are now satisfied.
Executive Vice-President Teresa Ribera said the commitments prevent cross-subsidisation of the companies’ European activities and that consumers would benefit from competition in retail and e-commerce, according to the Commission’s release as summarised by Osna. JD.com’s offer values Ceconomy at about 2.2 billion euros, MLex reported.
