Meta Platforms is offering five series of senior notes, the company said in a preliminary prospectus supplement filed with the Securities and Exchange Commission on Tuesday. The notes will be unsecured obligations of Meta and will rank equally with its other unsecured senior indebtedness. Interest is payable twice a year, beginning in 2027, and the notes will be issued in minimum denominations of 2,000 dollars.
The filing is a launch document, not a priced deal. Aggregate principal amounts, coupons, maturities and offering prices are blank throughout, to be completed at pricing, and the supplement is marked subject to completion, dated November 3, 2026. Meta says it intends to use the net proceeds for general corporate purposes. Citigroup and Morgan Stanley are the joint book-running managers. The notes will not be listed on any exchange and will be delivered in book-entry form through the Depository Trust Company.
Meta joins a crowded issuance calendar. Microsoft priced 25 billion dollars of notes on Monday, Oracle launched twin 10 billion dollar stock and bond offerings the same day, and Alphabet and Amazon have also raised or arranged AI-related funding in the past week, as covered in this publication’s reporting on the 131 billion dollar hyperscaler financing wave. The priced supplement, when it follows, will set the size and the maturities Meta chose, the terms that determine how much long-dated debt its AI capital spending adds.
